Stablepay End User Terms of Use

1. Acceptance of Terms
By accessing or using the services provided by Stablepay Pty Ltd through any application or platform that integrates the Stablepay application programming interface (the “Services”), you, as an individual end user (the “User”), agree to be legally bound by these Terms of Use (the“Terms”). If you do not agree to these Terms, you must immediately cease using the Services.
2. About Stablepay
Stablepay Pty Ltd, a company incorporated in South Africa (“Stablepay”), is a technology provider that enables payments using stablecoins.
When the User makes a payment, stablecoins, such as USDC or USDT, are converted into local currency and settled to the recipient, including merchants and billers, through licensed payment service providers.
Stablepay is a technology provider only. Stablepay does not provide banking, custody, investment, or regulated financial services. All local currency settlements are performed exclusively by third-party licensed partners.
3. Eligibility
The User must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement in order to access or use the Services.
4. Services
Through applications that integrate the Stablepay API, the User may use stablecoin balances to make payments for purchases, bills, and other everyday needs, or to send funds to other individuals or businesses, with settlement made in local currency. Stablepay may add, modify, suspend, or discontinue any aspect of the Services at its sole discretion and without prior notice.
5. User Responsibilities
The User shall be solely responsible for safeguarding wallet credentials, private keys, and login details used to access the Services. The User shall ensure that use of the Services complies with all applicable laws, including but not limited to anti-money laundering, fraud prevention, and financial crime regulations. The User shall not use the Services for unlawful, fraudulent, or abusive purposes, nor shall the User attempt to interfere with or disrupt the proper functioning of the Services.
6. Privacy
Stablepay respects the privacy of its users. Stablepay does not transmit or store sensitive user data on-chain. For further details, the User should refer to Stablepay’s Privacy Policy, as updated from time to time.
7. Fees
The User acknowledges that the use of the Services may incur fees, which will be displayed at the point of transaction. All fees are final and non-refundable once a transaction is submitted.
8. Disclaimers
The Services are provided strictly on an “as is” and “as available” basis. Stablepay does not warrant that the Services will be uninterrupted, error-free, or secure. Stablepay does not warrant or guarantee the prevention of fraudulent transactions. Stablepay does not control and shall not be responsible for any delays, failures, or losses arising from third-party service providers, including but not limited to wallet issuers, exchanges, payment providers, mobile money operators, or banks.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Stablepay shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of funds, failed transactions, or fraudulent activity by third parties. Stablepay’s total liability to the User for any claim arising under these Terms shall not exceed the amount of fees, if any, paid by the User to Stablepay in connection with the specific transaction giving rise to the claim.
10. Fraud, Errors, and Failed Transactions
All transactions confirmed on-chain are final and irreversible. Stablepay shall not be responsible for losses incurred as a result of fraud, scams, misdirected payments, incorrect recipient details, or compromised wallets. Any dispute regarding goods or services purchased using the Services shall be strictly between the User and the merchant or third-party service provider, and Stablepay shall bear no responsibility or liability in relation thereto.
11. Indemnification
The User agrees to indemnify, defend, and hold harmless Stablepay, its affiliates, and its service providers, and each of their respective officers, directors, employees, and agents, from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses, including reasonable legal fees, arising out of or in connection with: (i) the User’s breach oft hese Terms or of applicable law; (ii) the User’s misuse of the Services; or (iii) any claims brought by third parties, including merchants or recipients, relating to the User’s transactions.
12. Suspension or Termination
Stablepay reserves the right to suspend or terminate the User’s access to the Services immediately, without notice, if Stablepay suspects fraud, illegal activity, or a breach of these Terms. Upon suspension or termination, the User must immediately cease using the Services.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of South Africa.The User expressly agrees to submit to the exclusive jurisdiction of the courts of South Africa with respect to any dispute arising under or in connection with these Terms.
14. Changes to Terms
Stablepay reserves the right, in its sole discretion, to modify, amend, or update these Terms at any time. Any such modifications shall be effective immediately upon posting. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
15. General
These Terms constitute the entire agreement between the User and Stablepay in respect of the Services. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No failure or delay by Stablepay in enforcing any provision of these Terms shall be deemed a waiver of any right. The User may not assign these Terms without Stablepay’s prior written consent. Stablepay may assign its rights and obligations under these Terms without restriction.
